By accessing or using ReferMeHub ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to:

• Registered users who share and use referral codes
• Companies purchasing featured listings
• Visitors browsing the platform

2. Description of Service

ReferMeHub provides a platform for sharing referral codes with the following features:

• Fair Rotation System: All referral codes receive equal visibility through our rotation algorithm
• Code Submission: Users can submit referral codes for various companies and services
• Code Discovery: Users can browse and use referral codes shared by others
• Featured Companies: Companies can purchase premium placement for enhanced visibility
• Community Features: Voting system to validate code quality and relevance

3. User Accounts

3.1 Account Creation

• You must be at least 18 years old to create an account
• You must provide accurate and complete information
• You authenticate via Google OAuth and agree to Google's terms
• Only one account per person is permitted

3.2 Account Security

• You are responsible for maintaining account security
• You must notify us immediately of any unauthorized access
• We are not liable for losses due to unauthorized account use
• You must verify your email address to access all features

3.3 Account Termination

We may suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Abuse the platform or other users
• Create multiple accounts to manipulate the system

4. User Conduct and Prohibited Activities

You agree NOT to:

4.1 Referral Code Abuse

• Submit false, expired, or invalid referral codes
• Submit codes you don't own or have permission to share
• Manipulate the rotation system through multiple accounts
• Use automated tools to submit or interact with codes
• Submit the same code multiple times to gain advantage

4.2 Platform Abuse

• Attempt to hack, reverse engineer, or compromise our systems
• Use the service for illegal or unauthorized purposes
• Transmit viruses, malware, or harmful code
• Scrape or harvest data without permission
• Interfere with other users' access to the service
• Circumvent any security or access restrictions

4.3 Content Violations

• Post offensive, discriminatory, or hateful content
• Share personal information of others without consent
• Post spam or misleading information
• Violate intellectual property rights
• Promote illegal activities or substances

5. Featured Companies and Payments

5.1 Featured Listings

• Companies can purchase featured placement for enhanced visibility
• Featured status is for a specified duration (7, 30, or 90 days)
• Featured companies appear prominently on the homepage and company pages
• Featured status does not guarantee specific results or conversions

5.2 Payment Terms

• All payments are processed securely through Stripe
• Prices are in USD and subject to applicable taxes
• Payment is required upfront for the full featured period
• We do not store credit card information

5.3 Refund Policy

• Refunds are available within 48 hours of purchase if no significant exposure has occurred
• No refunds for partially used featured periods
• Refunds for technical issues will be evaluated case-by-case
• Refunds for Terms violations result in immediate termination

6. Intellectual Property Rights

6.1 Platform Content

The ReferMeHub platform, including its design, features, and content (excluding user content), is owned by ReferMeHub and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content License

By submitting content to ReferMeHub, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, display, and distribute your content
• The right to modify content for display purposes
• The right to use your content for marketing and promotional purposes

6.3 User Representations

You represent and warrant that:

• You own or have rights to all content you submit
• Your content doesn't violate any third-party rights
• Your content complies with all applicable laws

7. Fair Use Policy

Our fair rotation system is fundamental to ReferMeHub's mission. To maintain fairness:

• All non-featured codes receive equal rotation opportunities
• Users may not manipulate the system to gain unfair advantage
• We reserve the right to adjust rotation algorithms to maintain fairness
• Violations of fair use may result in account suspension

8. Disclaimers and Limitations

8.1 Service Disclaimer

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERMEHUB SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or data
• Damages exceeding $100 or fees paid in the past 12 months (whichever is greater)

9. Indemnification

You agree to indemnify and hold harmless ReferMeHub, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or referral codes

10. Dispute Resolution

10.1 Informal Resolution

Before filing a claim, you agree to try to resolve disputes informally by contacting us at legal@refermehub.com.

10.2 Arbitration Agreement

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

10.3 Class Action Waiver

You agree to resolve disputes only on an individual basis and waive any right to participate in class actions.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting unless otherwise specified.

• Material changes will be notified via email or platform notice
• Continued use after changes constitutes acceptance
• If you disagree with changes, you must stop using the Service

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and ReferMeHub regarding the Service.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

13.3 Waiver

Failure to enforce any right or provision shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms. We may assign our rights to any successor or acquirer.
